This Pro / Washer Agreement ("Agreement") governs your participation as an independent service business ("Pro" or "Washer") on the Sheen Platform operated by Sheen. By onboarding or accepting jobs, you agree to this Agreement, the Terms of Service, the Acceptable Use Policy, and the Privacy Policy.
You are an independent business — not an employee, agent, partner, or joint venturer of Sheen. You operate either as (a) a registered legal entity (LLC, S-Corp, partnership, or corporation) with an Employer Identification Number, or (b) a sole proprietor doing business under a registered DBA with a current local business license and a federal Taxpayer Identification Number (SSN or EIN) you provide on a W-9. You represent and warrant that you meet one of these descriptions and will keep your registration, license, and tax information current.
You control the manner and means of performing services. You provide your own equipment, supplies, and cleaning chemicals. You set your own availability, accept or decline jobs at your discretion, and are free to provide similar services to customers outside the Platform (including through other platforms). You are responsible for your own pricing where the Platform permits price-setting, and you may accept or decline Sheen's recommended pricing.
Default to LLC. Sheen recommends that all Pros operate as a single-member LLC (or other limited-liability entity) for personal-asset protection. Sheen provides in-app links and may offer a one-time formation credit to help you form an entity. After your first 90 days or 25 completed jobs on the Platform, whichever comes first, you agree to either provide proof of a registered legal entity with EIN or to confirm in writing that you continue to operate as a sole proprietor with a current DBA and business license.

To onboard, you must:
For each completed and Customer-approved job, Sheen remits your share after deducting the applicable platform commission. Current commissions: 22% for solo-Pro jobs; 18% for jobs with a Repeat Customer (defined as a Customer with whom you have completed at least two prior paid jobs through the Platform in the trailing 180 days); 12% for jobs claimed under a Sheen Partner arrangement; flat $150 commission for Sheen Partner jobs of $1,000 or more.
Tips. Where offered, 100% of customer tips are paid to you. Sheen takes no portion of tips.
Payouts. Payouts are made to your connected Stripe account on the standard schedule disclosed in-app.
Earnings statements. You will receive a per-job statement showing service price, commission, tips, deductions, and net payout, plus a weekly summary.
Adjustments. Sheen may adjust, withhold, or reverse payouts for refunds, chargebacks, fraud, penalties, or documented errors, subject to the following: (a) Sheen will provide written notice of any adjustment over $100 with the underlying claim or documentation; (b) you may dispute the adjustment within 14 days through the in-app appeal process; (c) amounts disputed in good faith will not be offset until the appeal is resolved.
Rush jobs may include a bonus for on-time arrival and a reduction if the deadline is missed, as disclosed in-app.
Sheen sets outcome-based quality standards (for example: vehicle cleaned to the agreed service level; check-in and before/after photos uploaded; on-time arrival within the booking window). You determine the order, products, methods, and procedures by which you achieve those outcomes, subject to law and the Acceptable Use Policy.
You agree to: arrive on time; communicate professionally; perform services competently and safely; treat Customers, their property, and their vehicles with care and respect; comply with all applicable laws (including the Unruh Civil Rights Act, Cal. Civ. Code §51, which prohibits discrimination against Customers based on protected characteristics); and follow safe-handling practices for cleaning chemicals consistent with OSHA Hazard Communication.
You agree not to: subcontract a job without Sheen's authorization; misrepresent who performed the work; misuse Customer personal information; or post or distribute Customer photos, addresses, or other personal information outside the Platform.
Non-solicitation. For 12 months after deactivation or termination, you agree not to solicit, divert, or attempt to divert any Customer with whom you were matched through the Platform within the trailing 12 months for the purpose of providing services that Sheen also offers, except where the Customer initiates contact independently of any solicitation by you. Liquidated damages for violation: 30% of revenue you receive from the diverted Customer during the restricted period, which the parties agree is a reasonable estimate of difficult-to-calculate damages and not a penalty.
You are responsible for performing services with reasonable care. If your negligence causes damage to a Customer's vehicle or property, you are responsible for it, and your insurance is primary.
Sheen will facilitate Customer claims by collecting documentation and submitting it to you and your insurer. You agree to cooperate with damage investigations and to provide your insurance carrier and claim information promptly on request.
If Sheen makes any goodwill payment to a Customer in connection with a claim arising from your negligence, Sheen may seek reimbursement from you (including by offset against future payouts) up to the amount paid, subject to: (a) prior written notice with documentation; (b) a 14-day in-app appeal window; (c) coordination with your insurer such that Sheen's recovery does not duplicate amounts recovered from your insurance; and (d) any limits under applicable law.
You must maintain the insurance coverage and limits set out in Schedule B (Insurance Requirements), which include at minimum commercial general liability coverage of $1,000,000 per occurrence, with Sheen named as additional insured on a primary and non-contributory basis with waiver of subrogation. You must provide a Certificate of Insurance on onboarding and on renewal, and you authorize Sheen and its insurance partners to verify coverage directly with your insurer.
If you do not have qualifying coverage, you may apply for and purchase a policy through the Sheen Insurance Services LLC marketplace. Sheen Insurance Services LLC is a licensed insurance producer (acting as agent for the carrier); the policy is issued by the carrier, who holds the risk. Pricing, terms, and underwriting decisions are the carrier's.
If you have employees or operate as a corporation/LLC and do not carry workers' compensation, you must execute a written officer or owner exclusion to the extent permitted by California Lab. Code §3352. If you drive your vehicle in connection with Platform jobs, you must maintain commercial or business-auto liability coverage at the limits in Schedule B.
Loss of qualifying coverage will result in immediate suspension from accepting new jobs until coverage is restored.

As an independent business, you are solely responsible for your own taxes, including self-employment taxes and any sales/use tax obligations of your business. Sheen does not withhold taxes and will issue tax forms (such as Form 1099-NEC or, via Stripe Connect, Form 1099-K) where required by law. You are responsible for reporting your income.
Routine penalties. Late arrivals, no-shows, cancellations after claiming, and similar service-level issues may result in fees or temporary reductions in matching priority, as disclosed in-app.
Notice-and-cure for non-safety issues. For policy violations that do not present an immediate safety, fraud, or legal risk, Sheen will give you written notice describing the violation and a 7-day period to cure before any deactivation. You may submit a response and supporting information.
Immediate suspension. Sheen may suspend or remove you from the Platform immediately for safety, fraud, illegality, repeated material violations, loss of required insurance or license, or as otherwise permitted by these terms and applicable law. Sheen will provide written notice within 5 business days describing the basis for the action.
Appeal. You may appeal any deactivation by emailing appeals@sheen.co within 14 days. Appeals will be reviewed by a person not involved in the original decision and decided within 14 days of receipt.
Sheen does not guarantee any minimum volume of jobs, earnings, or availability of bookings. Participation is at-will on both sides, subject to this Agreement.
The Platform is provided "as is." To the maximum extent permitted by law, Sheen is not liable for indirect or consequential damages, and its total liability to you relating to any job will not exceed the payout for that job. The foregoing limitations do not apply to Sheen's gross negligence, willful misconduct, fraud, or amounts that cannot be limited under applicable law.
You agree to indemnify, defend, and hold harmless Sheen and its affiliates from third-party claims arising from your services, your conduct, your breach of this Agreement, or your violation of law. For claims not involving your fraud or willful misconduct, your indemnification obligation is capped at the limits of the insurance you are required to maintain under Schedule B.
Dispute resolution, arbitration, and class/representative-action terms apply as set out in the Terms of Service §17. FAA §1 transportation-worker analysis applies to Pros who travel between job sites; the parties agree this is a fact-specific inquiry to be resolved by the arbitrator (or court, as applicable). California PAGA carve-outs apply as set out in the Terms of Service.

"Confidential Information" includes Customer personal information (names, addresses, phone numbers, gate codes, vehicle details, payment information, photos), Sheen pricing and operations information not publicly disclosed, and any other information identified as confidential. You will: (a) use Confidential Information only to perform jobs through the Platform; (b) not disclose it to any third party; (c) protect it with at least the care you use for your own confidential information; and (d) on request or on deactivation, delete or return it. Obligations survive termination indefinitely as to Customer personal information and for 3 years as to other Confidential Information.
You retain ownership of your trademarks, trade name, and pre-existing materials. You grant Sheen a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, display, distribute, and create derivative works from content you create on or for the Platform — including before/after and condition photos, job notes, and Customer-facing communications — for the purposes of operating, securing, marketing, and improving the Platform and for use in claims handling. You also grant Sheen a license to use your business name, logo, and likeness in Customer-facing listings and marketing collateral. You represent that you have the rights necessary to grant these licenses.
You will not refuse service, charge different prices, or provide a different level of service to any Customer based on race, color, ancestry, national origin, religion, age, sex, gender, gender identity, gender expression, sexual orientation, marital status, medical condition, military or veteran status, genetic information, or any other characteristic protected by the Unruh Civil Rights Act (Cal. Civ. Code §51) or other applicable law. You will treat Customers with respect at all times.
You will perform services in a safe manner, using cleaning chemicals consistent with their Safety Data Sheets (SDS) and applicable OSHA Hazard Communication standards (29 C.F.R. §1910.1200). You acknowledge receipt of Sheen's HazCom acknowledgment and SDS reference list (Schedule C) and that you are responsible for the safe handling, storage, and disposal of any chemicals you bring to a job site.
You will handle Customer personal information consistent with the Sheen Privacy Policy and applicable law (including the CCPA/CPRA and FCRA where applicable). You will not retain Customer addresses, photos, or other personal information outside the Platform after a job is complete except as necessary for your own tax and recordkeeping for the minimum period required.
You provide all equipment, supplies, water, power (where required), transportation, and cleaning chemicals at your own cost. You may serve customers and clients outside the Platform without restriction (subject only to the limited non-solicitation in §4). You are responsible for your own business operations, including marketing, scheduling, customer service for off-Platform clients, and compliance with all licensing and tax obligations.
Sections 5 (Damage, Claims), 6 (Insurance — solely as to claims arising during the term), 7 (Taxes), 10 (Disclaimers, Liability, Indemnity, Disputes), 11 (Confidentiality), 12 (Intellectual Property — solely as to licenses for content created during the term), 13 (Anti-Discrimination), and 15 (Data Privacy Obligations) survive termination of this Agreement.
Sheen may update this Agreement with a new effective date; continued participation after the effective date constitutes acceptance of routine, non-material changes. Material changes to commission, deactivation, insurance, indemnification, or dispute-resolution provisions will require your affirmative in-app consent before they apply to you.
Notices to you may be sent to your account email or in-app inbox. Notices to Sheen must be sent to hello@sheen.co with a copy to legal@sheen.co.
Assignment. You may not assign this Agreement without our written consent. Sheen may assign in connection with a merger, acquisition, sale of assets, or by operation of law.
Severability. If any provision of this Agreement is held unenforceable, the remaining provisions will continue in full force.
Entire agreement. This Agreement, the Terms of Service, the Privacy Policy, the Acceptable Use Policy, Schedule B (Insurance Requirements), Schedule C (HazCom Acknowledgment), and the FCRA Disclosure & Authorization constitute the entire agreement between you and Sheen regarding your participation as a Pro.
